1. Introduction

Welcome to Roots to Loft ("RTL", "we", "our", or "us"), a platform and ecosystem providing coworking spaces, incubation programs, consulting, workplace wellness, training, and related digital and offline services.

These Terms of Service ("Terms") govern your access to and use of:

• our mobile or web applications (if any) ("Platform"), and
• all products, services, memberships, events, or consultations offered by RTL (collectively, the "Services").

By accessing or using our Services, you ("User", "you", or "your") agree to be bound by these Terms and our Privacy Policy, Payment Policy, and Cookies Policy, which are incorporated by reference.

If you do not agree with any part of these Terms, please do not access or use RTL Services.

2. Legal Framework & Contractual Basis

These Terms constitute a legally binding agreement between you and RTL under:

• the Indian Contract Act, 1872,
• the Information Technology Act, 2000 and IT (Intermediaries Guidelines and Digital Media Ethics Code) Rules, 2021, and
• other applicable laws of India.

If you use our digital Services, this electronic record is generated and executed in compliance with the IT Act and does not require physical or digital signatures.

3. Eligibility & Account Creation

• You must be at least 18 years old and capable of entering into a legally binding agreement under Indian law to use RTL Services.
• For minors (under 18), a parent or legal guardian must provide consent and supervise usage.
• Certain Services may require account registration. When creating an account, you must provide accurate, complete, and updated information and maintain the confidentiality of your login credentials.
• You are responsible for all activities occurring under your account. RTL is not liable for any loss or misuse arising from unauthorised access to your account.
• RTL reserves the right to suspend, deactivate, or terminate any account found to be using false or misleading information.

4. Scope of Services

RTL provides a range of physical and digital services, including but not limited to:

1. Coworking Spaces – shared and private workspace access under membership or daily pass models.
2. Business & Startup Incubation – mentoring, networking, investor connects, and growth programs.
3. Tender Assistance – guidance, compliance, and documentation for public/private tendering.
4. Workplace Wellness Consulting – employee well-being audits, assessments, and strategy implementation.
5. Event & Training Rooms – space rentals, conferences, and community events.
6. Franchise & Partner Programs – collaboration for RTL's business models across regions.
7. Digital Platform Services – communication, booking, billing, and community engagement tools.

RTL reserves the right to add, modify, suspend, or discontinue any service or feature at its sole discretion.

5. User Responsibilities & Code of Conduct

You agree to use RTL Services lawfully and respectfully. You shall not:

1. Use the Services for any illegal, fraudulent, or unethical purpose.
2. Engage in behaviour that harasses, intimidates, or discriminates against others.
3. Violate any applicable law, regulation, or intellectual property right.
4. Upload, distribute, or transmit any material that is obscene, defamatory, or infringes third-party rights.
5. Attempt to gain unauthorised access to systems, servers, or networks.
6. Use the Services to distribute spam, malware, or harmful content.
7. Misuse coworking premises or damage RTL property.
8. Sublet, assign, or transfer membership without prior written approval.

Violation of this section may lead to suspension or permanent termination of your access to RTL Services without refund.

6. Memberships, Bookings & Access

6.1 Membership Terms

• Memberships are non-transferable and governed by specific plan terms agreed upon at the time of purchase.
• Access is limited to registered members; sharing of access cards or credentials is strictly prohibited.
• Members must comply with workplace rules displayed at each RTL location.

6.2 Bookings

• Room, hall, or facility bookings are subject to availability.
• Bookings must be confirmed with advance payment as per the Payment Policy.
• RTL reserves the right to reallocate space or reschedule bookings for operational reasons, with reasonable notice.

6.3 Termination or Non-Renewal

RTL may terminate or decline to renew membership if:

• you breach these Terms or RTL's code of conduct;
• you fail to make payments on time; or
• your behaviour adversely affects the community or premises.

7. Franchise & Partner Engagement

For users engaging under franchise, vendor, or partnership programs:

• All engagements are subject to separate Franchise or Vendor Agreements.
• No employment, partnership, or agency relationship is created by using RTL's Services or expressing interest through the website.
• Submission of an enquiry or application does not guarantee approval.

8. Payments, Billing & Refunds

Payments and billing activities are governed by RTL's Payment Policy, available separately.

Key provisions include:

• All payments must be made through authorised channels listed by RTL.
• Prices are quoted in Indian Rupees (INR) and are subject to applicable taxes (GST, etc.).
• Payments are final and non-refundable except as expressly provided in the Payment Policy or applicable law.
• Late payments may attract penalties or suspension of services.
• RTL does not store payment card data; processing is handled by secure, PCI-DSS compliant payment gateways.

9. Intellectual Property Rights

All intellectual property in the RTL name, logo, branding, designs, website, software, and content (text, images, graphics, code, documentation) belongs exclusively to Roots to Loft or its licensors.

Users are granted a limited, revocable, non-transferable licence to use the Services for personal or business use in accordance with these Terms.

You may not:

• copy, modify, reproduce, distribute, or sell any part of RTL content without written consent;
• reverse engineer or extract source code from the platform; or
• use RTL trademarks in a misleading manner.

10. User-Generated Content

If you post, upload, or share any content (e.g., testimonials, reviews, photos, or comments), you:

• grant RTL a non-exclusive, royalty-free, worldwide licence to use, reproduce, modify, and display such content for marketing or community purposes;
• represent that you own or have the right to share such content;
• agree not to upload unlawful, defamatory, or copyrighted material without permission.

RTL reserves the right to moderate or remove user content at its discretion.

11. Data Privacy & Security

Your use of RTL Services is also governed by our Privacy Policy, which explains how we collect, use, and safeguard your personal data.

By using our Services, you consent to RTL's data practices as described in that Policy.

RTL implements industry-standard security practices but cannot guarantee absolute protection against cyber threats. Users are responsible for securing their devices and accounts.

12. Third-Party Services & Links

Our Services may include links or integrations to third-party websites, software, or services.

RTL does not control and is not responsible for their content, terms, or privacy practices.

Using such third-party tools is at your own risk.

13. Limitation of Liability

To the fullest extent permitted by Indian law:

• RTL and its officers, employees, and partners shall not be liable for any indirect, incidental, consequential, punitive, or special damages, including loss of profits, goodwill, data, or business interruption, arising out of or related to your use of our Services.
• RTL's total cumulative liability for any direct damages shall not exceed the amount paid by you (if any) for the specific Service giving rise to the claim in the 3 months preceding the incident.
• Nothing in these Terms excludes liability for fraud, gross negligence, or matters that cannot be excluded under applicable law.

14. Indemnification

You agree to indemnify, defend, and hold harmless RTL, its affiliates, officers, and employees from and against all claims, damages, liabilities, costs, and expenses (including legal fees) arising out of:

• your breach of these Terms or applicable law;
• misuse of RTL's property, website, or brand; or
• violation of any third-party rights (intellectual property, privacy, etc.).

15. Disclaimer of Warranties

All Services are provided on an "as is" and "as available" basis.

RTL does not guarantee that:

• Services will be uninterrupted or error-free;
• all content is accurate or complete; or
• defects will always be corrected.

You use the Services at your own risk.

To the maximum extent permitted by law, RTL disclaims all express or implied warranties, including fitness for a particular purpose and non-infringement.

16. Force Majeure

RTL shall not be held responsible for delay or failure to perform obligations due to events beyond reasonable control, including natural disasters, epidemics, war, labour disputes, power failures, or internet outages.

17. Suspension & Termination

RTL may suspend or terminate your access immediately if:

• you breach these Terms or any policy;
• your actions risk RTL's security or reputation; or
• required by law or regulatory authority.

Upon termination:

• your right to use the Services ceases immediately;
• obligations relating to payment, confidentiality, and liability survive termination.

18. Governing Law & Dispute Resolution

• These Terms are governed by and construed in accordance with the laws of India.
• Courts of Ernakulam, Kerala, shall have exclusive jurisdiction over all disputes.
• Parties are encouraged to resolve disputes amicably before approaching court.

Continued use of RTL Services after updates constitutes acceptance of the new Terms.

21. General Provisions

• Entire Agreement: These Terms, along with the Privacy, Cookies, and Payment Policies, form the entire agreement between you and RTL.
• No Waiver: Failure to enforce any provision shall not constitute a waiver.
• Severability: If any clause is held invalid, the remainder shall continue in full force.
• Assignment: You may not assign or transfer your rights without RTL's written consent.
